Cognizant to Acquire Astreya for $600 Million to Boost AI Capabilities

Cognizant has agreed to acquire Astreya in a deal valued at approximately $600 million, marking a significant step in its strategy to strengthen its presence in the fast-growing artificial intelligence infrastructure space. The acquisition reflects the company’s efforts to expand its capabilities as enterprises increasingly invest in AI technologies and cloud-based solutions.

Astreya is known for its expertise in managing AI infrastructure, data centers, and enterprise networks. The company has built a strong reputation over the years by supporting complex technology environments, including AI labs and large-scale data operations. With this acquisition, Cognizant aims to integrate Astreya’s capabilities into its existing service offerings to deliver more comprehensive solutions to clients.

The deal is expected to close in the second quarter of 2026, subject to regulatory approvals. Once completed, it is likely to enhance Cognizant’s ability to support clients in building and scaling AI-driven platforms. As businesses accelerate digital transformation and adopt AI at a rapid pace, the need for robust infrastructure and operational support has become increasingly critical.

According to CEO Ravi Kumar S, the acquisition will complement the company’s existing AI framework. He noted that Astreya’s proprietary tools and production-grade infrastructure platform align well with Cognizant’s AI builder stack, enabling the company to better assist clients in designing, deploying, and operationalizing AI systems at scale. This integration is expected to strengthen Cognizant’s competitive position in a market where demand for AI services is growing rapidly.

The acquisition also builds on Cognizant’s broader strategy of expanding its AI and cloud capabilities through targeted deals. Earlier this year, the company acquired 3Cloud to enhance its expertise in Microsoft Azure services. In 2024, it also purchased Belcan for nearly $1.3 billion, further strengthening its digital engineering capabilities. These acquisitions highlight Cognizant’s focus on building a strong portfolio of services that cater to evolving client needs.

In addition to acquisitions, Cognizant has been expanding its partnerships with key players in the technology ecosystem. Collaborations with companies such as Microsoft and Anthropic are aimed at accelerating innovation and ensuring that the company remains competitive in a rapidly changing industry landscape.

Founded in 2001, Astreya has spent nearly a decade managing critical infrastructure for some of the world’s largest technology companies, including several of the so-called “Magnificent Seven” firms. Its experience in handling complex, high-performance computing environments makes it a valuable addition to Cognizant’s portfolio.

Despite these strategic moves, Cognizant has faced challenges in recent months. The company, which has a market valuation of around $26 billion, has seen its share price decline significantly this year. Concerns about slowing demand for IT services and the potential impact of AI-driven cost efficiencies on pricing have weighed on investor sentiment.

However, the acquisition of Astreya signals Cognizant’s commitment to long-term growth. By strengthening its capabilities in AI infrastructure and data center services, the company is positioning itself to capitalize on the increasing adoption of artificial intelligence across industries. As enterprises continue to invest in advanced technologies, Cognizant’s expanded offerings could help it capture new opportunities and drive future growth.
